Board of Directors

Monthly Meeting 3/27/08


The meeting was called to order at 6:00 PM by President Don Vogel.
He noted that a quorum was present and that the meeting was being taped.

Directors present we Gene Allen, Jim Davidson, Jim Hicks, Gene Sams, Rex Stevens, Jeff Stillman, Angela Vanover, and Don Vogel.  Steve Lee was absent.

There were two Association members present.

The first item for discussion was the First Subdivision settlement offer we had received from Attorney Patmore.  President Vogel explained that a thread of the lawsuit was still hanging (Slander of Title) that could take years to resolve.  In the meantime the Association is restricted from filing liens and taking collection action.

First Subdivision Settlement- There was general discussion about this topic revolving around our possible options and results of each.  There was a suggestion of a negotiating point and who a settlement would actually bind.  There was also discussion that a settlement could close the case and that the Association could move forward and that settling would cost less than pursuing.

Jeff Stillman moved to accept the settlement offer dated March 13, 2008 as long as the result was that the Association did not owe members anything, members did not owe the Association anything, and that it settles the Slander of Title suit.  The motion was seconded by Rex Stevens and passed unanimously.

March Assessment Income-The Board was then updated on the March assessment income.  There had been some concern at the March (3/13/08) meeting that income on this line item was slow.  Jim Davidson reported that to date in March, assessment income was $125,000.00.  It was noted that this amount represented approximately half of the delinquent amount and that we are at approximately 83% of budget assessment income.  This compares to in excess of 90% at this date in most previous years.  Manager Kroeger noted that the second delinquent notice would be sent soon.

Load Weight Limits- President Vogel advised the Board that there were some issues with the load weight restrictions passed at the 3/13/08 Board meeting.  It seems that many of the trucks that deliver construction materials weigh more empty than we were willing to allow loaded.  Jim Davidson noted that we had calculated weights on rear axles and had not taken into account the weight of engines and transmissions on the front axle.

There was discussion centered on the current and future condition of CLV roads and the effect that heavy trucks have on them, particularly when the ground is soft and spongy as it is at this time.  Jeff Stillman moved to suspend the temporary weight limits until the Infrastructure Committee can research and come back to the Board with information needed to make an educated decision.  Gene Allen seconded the motion.  There was further discussion that holding weights at that point would effectively stop construction, that construction in the Village was vital, that our roads cannot take that kind of wear, and that we need to make an educated decision.

The motion passed with 4 (Allen, Stevens, Stillman, Vanover) in favor, 2 (Davidson, Hicks) opposed, and 1 (Sams) abstaining.  (The President only votes to make a tie, break a tie, or by paper ballot.)

Board Candidates-Manager Kroeger noted that one candidate for the Board had submitted a resume’ and another had recently inquired about the procedure to run.
He asked Nominations Chair Rex Stevens if there was any new paperwork to be filed with the resumes’.  Stevens replied that there was not, and that he would get together with Kroeger individually to discuss this.

There being no further business the meeting was adjourned at 7:00 PM on a motion by Jeff Stillman and a second by Jim Hicks.
