Board of Directors

Special Meeting 7/31/07


The meeting was called to order at 6:05 PM by President Don Vogel.  He noted that a quorum was present and that the meeting was being recorded.

Directors present were Jim Davidson, Jim Hicks, Steve Lee, Jeff Stillman, Angela Vanover, Don Vogel, and Steve Webb.  Rex Stevens arrived at 6:30.  Gene Allen was absent.

President Vogel reminded the Board that this was an open special meeting and that there were two topics on the agenda.  The first item being a review of the proposed modifications to the Subdivision One Covenants and Restrictions as presented by the Subdivision One Committee.  The second was to review a request from member Brian Blankenship to trade some lots between himself and the Association. 

There were 3 members of the subdivision One Committee in attendance- Tom Polster,
George Lindauer, and Bill Andrews.

At this time President Vogel opened the floor for discussion.  The main points included that this proposal was a step in a process, the goal of which was to ultimately unify the entire Village under one set of Covenants and Restrictions.

There was concern voiced that there was no end date to the proposed modifications.  It was suggested that the modifications have the same end date as the Covenants for subdivisions 2-12.

There was also some discussion of the level of Board trust by the membership and the root issue of the Covenant situation.

The current goal of the Committee was to have the Board vote support and acceptance of the Modifications once the necessary votes are obtained.

After further discussion, Jeff Stillman moved that the Board would support and accept the Modifications as requested.  Rex Stevens seconded the motion which passed on a 5-2 vote.  Jim Davidson and Steve Webb voted “no”.  President Vogel did not vote.

President Vogel then advised the Directors of the trade options that Mr. Blankenship had offered.  His options had been noted on a Village map for Director review.  After some discussion, mostly negative about entering into this sort of agreement in general, Steve Lee moved to reject the trade offer.  Jim Hicks seconded the motion which passed unanimously.

The meeting adjourned at 7:05 PM on a motion by Steve Lee and a second by Jeff Stillman.
